Terms of Service

Overview

These Terms of Service ("Terms") are the agreement between you and Allodial Supply Co LLC, a subsidiary of Allodial Holdings LLC ("Allodial," "we," "us"), governing your use of Allodial Predict at allodialsupply.com and app.allodialsupply.com (the "Service"). These Terms also serve as the end-user license agreement (EULA) for the Service.

By creating an account or using the Service, you accept these Terms on behalf of yourself and the business you represent. If you do not agree, do not use the Service.

1. The Service

Allodial Predict is a B2B reorder prediction platform for distributors. It analyzes your purchase order history, product data, and customer reorder patterns to generate reorder predictions, trend analysis, and suggested purchase orders.

The Service is advisory only. It never places orders, modifies your records, or makes purchasing decisions for you. All suggestions require your review and approval, and all business decisions remain yours.

2. License and Account

We grant you a limited, non-exclusive, non-transferable license to use the Service for your own internal business operations during your subscription or trial. Accounts are for distributor admins and their account managers. You are responsible for the accuracy of your account information, the security of your login credentials, and the actions of users you invite to your account. The Service is for business use; you must be at least 18 and authorized to bind your business.

3. Third-Party Integrations (QuickBooks, Sage, NetSuite)

The Service can connect to QuickBooks Online (Intuit), Sage, and NetSuite via OAuth.

  • You authorize the connection. By connecting an integration, you confirm you are authorized to grant access to that system's data on behalf of your business, and you direct us to retrieve that data to provide the Service.
  • Read-only. Our access is read-only. We never write to, modify, or delete anything in your connected systems.
  • Token handling. OAuth tokens are encrypted and used solely to provide the Service. We never share them.
  • Disconnection. You may disconnect an integration at any time from your settings or from the provider's own app management page (for QuickBooks, the Intuit "My Apps" page). Disconnecting stops all syncing and deletes stored tokens.
  • Provider terms. Your use of QuickBooks, Sage, or NetSuite remains governed by your agreements with Intuit, Sage, and Oracle respectively. We are not responsible for those services, their availability, or changes to their APIs. Allodial Predict is an independent product and is not endorsed by or affiliated with Intuit, Sage, or Oracle.

4. Your Data

You retain full ownership of all data you import or connect to the Service and everything generated from it for your account. You grant us a limited license to process that data solely to provide the Service to you, as described in our Privacy Policy.

We never sell your data. Your data is isolated from other customers' data. Upon account closure and your request, we delete your tenant data within 30 days.

You are responsible for ensuring you have the right to import or connect the data you provide, and that your use of the Service complies with your own agreements and applicable law.

5. Trials, Billing, and Cancellation

  • New accounts receive a 60-day free trial with full access; no payment method is required to start.
  • Paid subscriptions are billed monthly in advance via Stripe.
  • Alpha partners may qualify for permanently locked preferred pricing per the Alpha Program Terms.
  • You may cancel at any time from billing settings. Cancellation takes effect at the end of the current billing period; no refunds are issued for partial periods.

6. Acceptable Use

You must comply with our Acceptable Use Policy. In short: no unlawful use, no attempts to access other tenants' data, no reverse engineering, no reselling access, and no abuse of the platform or its integrations.

7. Intellectual Property

The Service — including its software, prediction models, algorithms, and design — belongs to Allodial Supply Co LLC. Nothing in these Terms transfers any of our intellectual property to you, and nothing transfers your data ownership to us. Feedback you provide may be used to improve the Service without obligation to you.

8. Confidentiality

Each party will protect the other's non-public information with reasonable care and use it only as needed to perform under these Terms.

9. Disclaimers

THE SERVICE PROVIDES ESTIMATES AND ADVISORY RECOMMENDATIONS ONLY. Predictions are statistical estimates based on your historical data — we do not guarantee their accuracy or any business outcome. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. You bear sole responsibility for all purchasing and operational decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) neither party is liable for indirect, incidental, special, or consequential damages, including lost profits or lost data; and (b) Allodial's total liability under these Terms is limited to the amounts you paid us in the 12 months before the claim arose (or $100 if you are on a free trial).

11. Indemnification

You will defend and indemnify Allodial against third-party claims arising from your data, your violation of these Terms, or your unauthorized use of connected third-party systems.

12. Suspension and Termination

We may suspend or terminate accounts that violate these Terms or the Acceptable Use Policy. You may close your account at any time. On termination, your right to use the Service ends; your data is handled per Section 4 and the Privacy Policy.

13. Changes to the Service and Terms

We may modify the Service over time (the platform is in alpha — see Alpha Program Terms). If we make material changes to these Terms, we will notify account admins by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of the United States and the state in which Allodial Supply Co LLC is organized, without regard to conflict-of-law rules. The parties will first attempt to resolve disputes informally by contacting legal@allodialsupply.com.

15. General

These Terms, the Privacy Policy, the Acceptable Use Policy, and (if applicable) the Alpha Program Terms are the entire agreement. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
